By downloading, installing, or using the TallyStick application ("the App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the App.
These Terms apply to all users of the App, including individuals using it for personal or business purposes. Your continued use of the App following any changes to these Terms constitutes your acceptance of the revised Terms.
If you are using the App on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
TallyStick is a free Android application designed to help small business owners, shop keepers, vendors, and individuals manage credit and payment records (a digital khata/ledger). The App allows users to:
- Create and manage business profiles and customer records
- Record credit (Due) and payment (Paid) transactions
- Send notification messages via SMS and WhatsApp
- Generate and share PDF reports and statements
- Export and import business data as JSON backup files
- Sync data between nearby devices using offline peer-to-peer transfer
All data entered into TallyStick is stored exclusively on your device. The App does not transmit your customer records, transaction data, or business information to any external server, cloud service, or third party.
Because data is stored locally on your device, you are solely responsible for:
- Maintaining regular backups of your data using the App's built-in export/backup features
- The security and physical safety of your Android device
- Ensuring your device is protected with a PIN, password, pattern, or biometric lock
- Controlling who has physical or logical access to your device
- Transferring your data when upgrading or changing devices

To the maximum extent permitted by applicable law, TallyStick and its developers shall not be liable for any:
- Loss or corruption of data — including customer records, transaction histories, business profiles, templates, and backup files
- Data loss due to device malfunction — hardware failure, battery damage, screen breakage, or any physical damage to your device
- Loss from accidental deletion — including deletion of customers, transactions, or the App itself
- Loss resulting from OS updates — Android system updates may, in rare cases, affect app storage; we are not liable for such outcomes
- Loss during P2P sync — while we design sync to be safe, unexpected errors during peer-to-peer data transfer may occur and we are not liable for resulting data discrepancies
- Loss during backup or restore — errors during JSON export/import, file system issues, or corrupt files are your responsibility to verify and manage
- Business losses — any financial loss, loss of customers, or business disruption caused directly or indirectly by data loss in the App
You acknowledge that by using an offline, device-local application, the risk of data loss due to device-related issues rests entirely with you. Regular backups are your primary protection against data loss.
TallyStick is designed as a fully offline application. Your data is not transmitted over the internet, which significantly reduces the risk of a remote data breach. However, we cannot guarantee absolute security in all circumstances.
We are not responsible for any unauthorised access to your data arising from:
- Physical access to your unlocked or unprotected device by another person
- Malware, spyware, or other malicious software installed on your device from third-party sources
- A compromised Android OS or rooted device that bypasses normal app sandbox protections
- Backup files (JSON exports) stored in insecure locations accessible to others
- Peer-to-peer sync sessions initiated in untrusted environments
- Unauthorised access to your Google Drive or any cloud storage where you have stored exported backup files
To the maximum extent permitted by law, TallyStick and its developers shall not be held liable for any damages — direct, indirect, incidental, or consequential — arising from a security incident or unauthorised access to your locally stored data.
TallyStick is provided "as is" and "as available" without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability — we make no promise that the App is fit for any particular commercial purpose
- Implied warranties of fitness for a particular purpose — the App is a general-purpose ledger tool and may not suit every specific business workflow
- Warranty of uninterrupted or error-free operation — the App may contain bugs, crash on certain devices or OS versions, or become temporarily unavailable due to updates
- Warranty of accuracy — while we strive for accurate calculations, you are responsible for verifying all financial figures recorded in the App
We do not warrant that the App will meet your specific requirements, that defects will be corrected, or that it is free from viruses or other harmful components.
TallyStick is a record-keeping and ledger management tool, not a licensed financial, accounting, or banking application. The following important limitations apply:
- The App does not provide financial advice, tax guidance, or accounting recommendations of any kind
- Figures displayed in the App — balances, receivables, payables, and totals — are based solely on the data you enter; they reflect what you have recorded, not necessarily what is legally owed
- The App does not verify the accuracy of amounts, dates, or notes entered by users
- PDF reports and shared statements generated by the App are for informational and reference purposes only and do not constitute legal or official financial documents
- Disputes between you and your customers regarding amounts owed must be resolved between the parties; TallyStick has no role or liability in such disputes
TallyStick integrates with or relies on certain third-party services. By using the App, you also agree to the relevant terms of these services:

We are not responsible for the availability, accuracy, or behaviour of any third-party service. SMS and WhatsApp messages sent through the App are subject to your carrier charges and WhatsApp's platform policies. We have no control over whether those messages are delivered.
Any data you share externally (via WhatsApp, SMS, PDF share, or P2P sync) leaves the App's controlled environment. We are not responsible for how that data is handled once it leaves the App.
You may use TallyStick for lawful personal and business record-keeping purposes. You agree not to use the App to:
- Record, track, or facilitate any illegal financial activity, including money laundering, fraud, or unlicensed lending
- Store data that violates the privacy or rights of individuals without their knowledge or consent, in violation of applicable privacy laws
- Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the App
- Modify, create derivative works from, or distribute the App without explicit written permission
- Use the App in any way that could damage, disable, overburden, or impair the functionality of devices or networks
- Attempt to circumvent any security or access controls within the App
The TallyStick application, including its name, logo, design, user interface, source code, and all associated content, is the intellectual property of the TallyStick developer(s) and is protected by applicable copyright, trademark, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App solely for its intended purpose as described in these Terms. This licence does not grant you any rights to:
- Reproduce, copy, or redistribute the App or any portion of it
- Use the TallyStick name, logo, or branding for any commercial purpose without written permission
- Sub-license the App to any third party
Your data belongs to you. We make no claim of ownership over any customer records, transaction data, or business information you enter into the App.
We reserve the right to:
- Update, modify, or discontinue any feature of the App at any time, with or without notice
- Release new versions of the App that may change existing functionality or behaviour
- Amend these Terms at any time. The "Last updated" date at the top of this page will reflect any changes
Major changes to these Terms will, where possible, be communicated via an in-app notice or an update on our website. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.
You may stop using the App at any time by uninstalling it from your device. Uninstalling the App will permanently delete all locally stored data unless you have exported a backup beforehand.
We reserve the right to terminate or suspend access to the App (e.g., by removing it from the Play Store) at our discretion. Such termination does not affect data already stored on your device.
Upon termination or uninstallation:
- Your licence to use the App ends immediately
- All data stored by the App on your device may be deleted by the Android OS
- We have no obligation to retain or recover any data you have not personally backed up
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
Limitation of Liability: To the fullest extent permitted by applicable law, in no event shall TallyStick or its developers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunity
- Loss of data or goodwill
- Cost of substitute services
- Any damages exceeding the amount paid by you for the App in the 12 months prior to the claim (which, as the App is free, shall be ₹0)
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; in such cases, our liability shall be limited to the maximum extent permitted by law.
